1. Acceptance of Terms

By using our website, requesting a quote, or engaging Elite Digital to provide services, you confirm that you are at least 18 years old, have the legal authority to enter into a binding contract, and accept these Terms in full. We may update these Terms from time to time, and continued use of our services after changes are posted constitutes acceptance of the revised Terms.

2. Services Provided

Elite Digital provides a range of services including but not limited to: Google Marketing, Facebook Marketing, Digital Marketing, Mobile App Development, Web App Development, Blockchain Development, and Custom Software Development. The exact scope, deliverables, timelines, and fees for each engagement will be detailed in a written proposal, statement of work, or quotation provided to you separately. Those documents, together with these Terms, form the complete agreement between you and Elite Digital.

3. Client Responsibilities

You agree to: provide accurate, complete, and timely information, content, access credentials, and approvals necessary for us to deliver the services; cooperate with our team and respond to requests for feedback within reasonable timeframes; ensure that any content, data, or materials you supply do not infringe any third-party rights or violate any law; and pay all invoices on the agreed schedule. Delays caused by missing or late inputs from your side may impact project timelines and costs.

4. Payment Terms

Unless otherwise stated in your specific proposal, projects are billed on a milestone basis with an upfront advance, milestone payments, and a final payment on delivery. Marketing retainers and ad spend management fees are billed monthly in advance. All fees are exclusive of applicable taxes (including GST), payment gateway charges, and third-party costs (such as ad spend on Google or Meta, hosting, domains, paid plugins, or licenses), which are payable by you. Late payments may attract interest and may result in suspension of work until cleared.

5. Refund Policy

Once a project has commenced and resources have been allocated, fees paid for completed milestones are non-refundable. Cancellations must be requested in writing; refunds, if any, are limited to the unutilised portion of the most recent milestone advance, after deducting time and materials already invested. Third-party costs (such as ad spend, domain or hosting fees, software licenses) are non-refundable. We do not offer refunds for marketing campaigns based on outcomes, as performance depends on multiple market factors outside our sole control.

6. Intellectual Property

Upon receipt of full and final payment, ownership of the final deliverables specifically created for you (such as a website, application, or campaign creatives) will transfer to you. Elite Digital retains ownership of any pre-existing tools, frameworks, code libraries, design systems, or methodologies used during the project. We reserve the right to display non-confidential aspects of completed work in our portfolio and case studies unless you explicitly request otherwise in writing.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of working together — including business strategies, financial data, customer lists, source code, and proprietary materials — and to use such information only for the purposes of the engagement. This obligation survives the termination of the agreement.

8. Third-Party Services & Platforms

Many of our services rely on third-party platforms (Google Ads, Meta/Facebook Ads, hosting providers, app stores, blockchain networks, analytics tools, etc.). We are not responsible for changes in their policies, pricing, downtime, account suspensions, or actions taken by those platforms. You are responsible for compliance with the terms of any third-party platform on which your campaigns or applications run.

9. Warranties & Limitation of Liability

We warrant that our services will be performed with reasonable skill and care and in line with industry best practices. We do not guarantee specific business outcomes such as a particular ranking, conversion rate, return on ad spend, or revenue, as these depend on market conditions, competition, and your own product, pricing, and operations. To the fullest extent permitted by law, Elite Digital's total liability arising out of any engagement is limited to the fees actually paid by you for the specific service giving rise to the claim, in the three (3) months preceding the event. We are not liable for indirect, incidental, special, consequential, or loss-of-profit damages.

10. Termination

Either party may terminate the engagement with written notice for material breach (such as non-payment or failure to provide required inputs) that is not cured within fifteen (15) days of notice. Upon termination, you will pay for all work completed up to the termination date, plus any non-cancellable third-party costs already committed. Sections relating to payment, intellectual property, confidentiality, and limitation of liability survive termination.

11. Acceptable Use of Website

You agree not to use our website to: post or transmit any unlawful, harassing, defamatory, or infringing content; attempt to gain unauthorised access to our systems; introduce viruses, malware or any harmful code; scrape, crawl, or copy content other than as permitted; or impersonate any person or entity. We may suspend or terminate your access at our discretion if these rules are breached.

12. Indemnification

You agree to indemnify and hold Elite Digital, its directors, employees, and contractors harmless from any third-party claims, damages, or expenses (including reasonable legal fees) arising from your content, your products or services, your use of our deliverables, or any breach of these Terms by you.

13. Governing Law & Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts at Gurgaon, Haryana.

14. Changes to These Terms

Elite Digital may revise these Terms at any time by posting an updated version on this page. Material changes will be reflected by an updated "Last revised" date. Your continued use of the website or services after the revised Terms take effect constitutes your acceptance of those changes.
